1. ACKNOWLEDGMENT AND ACCEPTANCE OF SERVICE TERMS OF USE

EducationalMediaLibarary.com provides a number of online resources, which may include but are not limited to multimedia, forums, and various social networking services and websites provided by MediaDev S.A. and authorized partner websites and services, (referred to hereafter as "SERVICE") subject to the following Terms of Use ("TERMS"). By using the Service in any manner, you are agreeing to comply with the Terms and Conditions. In addition, when using particular features of the SERVICE whether in Beta or not, you agree to abide by any applicable posted guidelines and TERMS for the SERVICE which may change from time to time. Should you object to any condition or term of these TERMS, any guidelines, or any subsequent modifications thereto or become dissatisfied with the SERVICE in any way, immediately discontinuing use of the SERVICE is your only recourse. BY USING ANY PART OF THE SERVICE, YOU ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, ALL OF THE TERMS AND CONDITIONS IN THIS AGREEMENT. The SERVICE reserves the right to change these terms and conditions at any time.

This Terms of Use Agreement is between you (the “CUSTOMER”) and the SERVICE and sets forth the terms and conditions governing your use of the SERVICE. The changes will appear on this page and are effective immediately. If you do not agree with any of the terms or conditions contained in this Agreement or with any future change to this Agreement, do not use the SERVICE or do not continue to use the Site after such change has been implemented. In the event that we change the terms of service after payment of a membership in a way that is unacceptable to you, you may request a prorated refund of any pre-paid member subscription within 30 days of the change in Terms of Service.

2. THE SERVICE

The SERVICE consists of an online content platform operating under the domain name, educationalmedialibrary.com (and subdomains thereof) and a series of application programming interfaces ("API") that process. Portions of the Service help the CUSTOMER to manage, insert, mix, and view various types of content images, text, video, sounds, data, messages, text, files, images, or other online materials ("CONTENT") within a number of different contexts on the SERVICE owned web properties, partner sites, or unaffiliated online or offline locations ("Site").

As part of the service, the SERVICE stores copies of your CONTENT in its computer servers. You understand that all CONTENT posted on, linked from, or transmitted through the SERVICE, are the sole responsibility of the person or organization from whom such CONTENT originated. More specifically, you are entirely responsible for all CONTENT that you post, message, email or otherwise make available via the SERVICE. You understand that the SERVICE does not control in any way CONTENT made available through the Service and is not responsible for it or how it is accessed in any way or manner. Furthermore, the SERVICE may make CONTENT available through the SERVICE that contains links to external and non-affiliated websites. These sites are completely independent of the SERVICE.

The SERVICE provides you with the capability to view CONTENT. Depending on the site, registration may be required for access to, manipulation of, or redistribution of CONTENT via interface or API. Some portions of the SERVICE may only be available in exchange for a set fee or as part of a time-based subscription fee. CONTENT may be translated into all supported languages as part of the SERVICE. Any CONTENT provided by you as the copyright holder or with the permission of the copyright holder. The SERVICE continually improves the web engine software and the Site and you are entitled to those improvements at or below your membership level for as long as you maintain your membership or subscription.

In order to use the Service, you must be able to access the World Wide Web. This may include access to a computer, modem or any other necessary equipment. The SERVICE does not provide Internet access, and is not responsible for the payment of fees associated with establishing or maintaining such access.

In addition, you may need to provide the SERVICE with certain information in order to register for portions of the SERVICE (the "Registration Information"). Because this site deals with subject matter that generally involves some form of legal agreement, you must be at least eighteen (18) years old to use the SERVICE.

The SERVICE uses information from registrations, newsletter signups, or other opt-in sources to communicate with all users. This communication is usually periodic but also may be incidental to the SERVICE status or use the SERVICE.

3. USER NAME AND SECURITY OF REGISTRATION INFORMATION

In order to register for the SERVICE, you will be required to select a unique user name and password as part of the registration process. You are responsible for maintaining the confidentiality of your user name and password and for any and all activities that occur under your password or account. It is your sole responsibility to ensure that all Registration Information is accurate and complete at all times. If any Registration Information provided by you is untrue, inaccurate, or not current or incomplete, the SERVICE has the right to immediately terminate your account without notice or refund and refuse you any and all current or future use of the Service. You agree to immediately notify the SERVICE of any unauthorized use of your account or any other security breach known to you. Forgotten or stolen passwords are the sole responsibility of users of the SERVICE. You may request a new password to be issued, which will be emailed to your email account of record.

4. CONTENT

The SERVICE provides content in multiple forms: live webinar content, prerecorded video seminars and informations, and downloadable content. by using this SERVICE, the CUSTOMER understands and agree that any content on the SITE may be made available on a paid, pay-per-view, subscription, or free basis at the option of, and in the best interest of the SERVICE. Some content may made exclusively available only as part of a bundled package or subscription. Free content will be identified as free, $0.00, or as having no cost. The CUSTOMER shall only access live, pre-recorded, or downloadable content for which the customer has duly paid for or is identified by the SERVICE as being provided at no charge. Customers may not share duly paid for content with third parties.

Content contained witin and presented by the Service may contain information, opinion, advice, recommendations, or comments that are solely the opinion of the the presenter of the content. Customer agrees that such statements are in no way associated with EducationalmediaLibrary.com, their officers, directprs, employees, staff, or contractors and under no circumstances should the customer consider such statements as legal advice. As with any investment, real estate investment incurs a level of risk and Customers should consult their own legal, financial, tax, and/or other professional advisors with questions or clarifications for any Content or statement presented on the Site.

The copyright and all other intellectual property rights in this Site (including all trademarks, brands, trading names, icons, insignia, service marks, text, graphics, source code, files, relationships, database rights and links) belong to the Service or our partner(s), licensor(s), event point(s) of contact, or collaborator(s). The SERVICE considers the CONTENT that you share with the Service to be yours. Intellectual property ownership will not change with use of the SERVICE. You retain all of your ownership rights in your User Submissions. However, by submitting or providing CONTENT to the SERVICE as part of an event or as a third party contributor, you hereby grant the SERVICE a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and manipulate CONTENT in connection with the SERVICE’s Website, authorized partner sites, and SERVICE’s (and its successor's) business, including without limitation for promoting and redistributing part or all on the SERVICE’s Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the SERVICE a non-exclusive license to access your CONTENT through the Website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The foregoing license granted by you terminates once you remove or delete CONTENT from the SERVICE.

The SERVICE will not edit or disclose information about you or your private content, except that you agree that EducationalMediaLibray may do so in accordance with its then-current privacy policy or in the good faith belief that such action is reasonably necessary: (a) to comply with any laws, rules or regulations; (b) to comply with any legal process; (c) to enforce this Agreement; (d) to respond to claims that such data violates the rights of third parties; and (e) to protect the interests of the SERVICE or others.

You acknowledge and agree that certain technical processing of information is and may be required in the ordinary course of business. You acknowledge and agree that the SERVICE may access all CONTENT as necessary to identify or resolve technical problems or to respond to service complaints.

You agree not to store, share, or communicate through the SERVICE, among other items: content paid for by you; racist or sexist text, photos or video; credit card data, credit card numbers or financial or credit histories of individuals; sexually explicit, pornographic, harassing, abusive, harmful or obscene photos, video or information; social security numbers; information on an individual's health status; stolen or fraudulent photos or video; photos, video or information related to illegal gambling, sweepstakes or other games of chance; information or content that infringes on the intellectual property rights or civil rights of another third party; or any otherwise illegal information. If you are under the age of 18, you may not browse, purchase content, post, submit, or otherwise use any part of the SERVICE.

5. CONTENT TRANSLATIONS

Translated content may be made available to you for purchase or at no cost as part of the SERVICE. Translated content will be marked as such by the SERVICE. You understand and agree that translations are only provided to assist non-English speaking members of educationalmedialibrary.com and for generating an initial level of interest in the CONTENT. By using, accessing, or otherwise consuming translated content, customer agrees that they should be not considered legal or binding translations. If you require such level of translation, stop using the Service immediately and consult a professional translator on your own.

6. DATA STORAGE

You understand and agree that all data, photos and video shared using the Service will be stored on the SERVICE's servers. These servers may be ours or outsourced to third party hosting providers or verification providers. The SERVICE assumes no responsibility for the deletion or failure to store any data or other information included by you on the SERVICE. The SERVICE is no in any way reponsible for outages stemming from outsourced data centers or hosting facilities.

7. YOUR CONDUCT

You agree to abide by all SERVICE standards and applicable local, state, national and international laws and regulations in your use of the SERVICE, and you agree not to interfere with the use and enjoyment of the SERVICE by other users. You agree to be solely responsible for your actions and the contents of your entries through the SERVICE. You agree not to impersonate any person or entity, including but not limited to a SERVICE official, or falsely state or otherwise misrepresent your affiliation with a person or entity.

You agree: (1) to comply with all laws regarding the transmission of technical data exported from the United States through the Service or Fair Housing statutes; (2) not to upload or distribute in any way files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; (3) not to use the Service for illegal purposes; (4) not to interfere or disrupt networks connected to the Service; (5) not to use the SERVICE for chain letters, junk mail, “spamming” solicitations (commercial or otherwise) or bulk communications of any kind and (6) to comply with all regulations, policies and procedures of networks connected to the Service. You agree not to post, promote or transmit through the SERVICE any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, hateful, racially, ethnically or otherwise objectionable material of any kind or nature. You further agree not to transmit or post any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law or regulation. The SERVICE may, at its sole discretion, immediately terminate your access to the Service should your conduct fail to conform to these terms and conditions.

8. Payment

The primary mechasim for payment on the Site is use of a duly authorized and valid credit card with sufficient available credit to purchase the desired portion of service. All credit card transactions are handled by a third party credit card processor that makes all decisions as to acceptance of a given credit card transaction. the credit card processor's decision about a given transaction for use of the service or any portion of the service is final. Any user of a valid credit card that fradulently, illegally, or inadvertently uses the card on this site expressly disclaims and holds harmless eduactionalmedialibrary.com, Mediadev, S.A., it's directors, officers, employees, and partners from any legal action stemming from such use of the card. If a given transaction is accepted, the applicable portion of the Service paid for will be made available to the Customer. In the event that a given credit card transaction is declined by the processor, the Customer will be denied access to the portion of the service applicable to the transaction until proper payment has been approved. Any issues or questions as to the reason why a given transaction has been declined are best directed to your bank or credit card company.

If you do not have a credit card or want an alternative method of payment, you can pay for applicable portions of the service by check, money orders, or bank transfer. Your transaction will be placed in a pending status until our bank clears such alternative payments. Note that alternative forms of payment may take as much as 7-10 business days or more and so you plan accordingly for access to portions of the service. The Site bears no responsibility for the status of or clearance process for alternative forms of payment. More clearly, you are responsible for submitting alternative forms of payment in time to clear for time sensitive content. our bank's decision about the acceptance of a transfer or check/money order is final. In the event that our bank denies the alternative form of payment for any reason, the Customer will be denied access to the portion of the service applicable to the transaction until proper payment has been approved. Any issues or questions as to the reason why a given transaction has been declined are best directed to the issuer of the check/money order, or the bank initiating the wire transfer.

9. MODIFICATION OF SERVICE

At any time, the SERVICE may decide to modify, suspend, alter or terminate the Service provided to you for any reason. The SERVICE will make any decisions about modifications to the SERVICE in its sole discretion, with or without notice to you. You accept and acknowledge that the SERVICE reserves this right and agrees that the SERVICE will not be responsible for any modification or discontinuation of the Service.

8. TERMINATION OF SERVICE

You agree that the SERVICE may terminate your password, account or use of the SERVICE and, at the SERVICE’s discretion, terminate your use of all or part of the SERVICE for any reason, at its sole discretion, including, without limitation, if the SERVICE believes: (a) that you have violated or acted inconsistently with this Agreement; or (b) that you have violated the rights of the SERVICE or its users or parties or (c) that your account is not in good standing with respect to the payment of fees asociated with the service.

You may choose to cancel your account with the SERVICE at any time. A cancellation initiated by you will be called a voluntary termination. Yearly subscription fees, once paid, are not refundable.

You acknowledge and agree that any termination of the SERVICE under any provision of this Agreement may be effected without prior notice, and you further acknowledge and agree that the SERVICE may immediately delete and discard all information and files in your account and bar any further access to such files or the SERVICE, with the exception that SERVICE will return to you, on voluntary termination under the above terms, a copy of your content. If the SERVICE terminates your account for violation of this agreement, we will not provide image or video data to you.

10. NO RESALE OF THE SERVICE. COMMERCIAL AND NON-COMMERCIAL USE.

This service is intended for non-commercial, informational use. To be clear, CONTENT that is presented may be commercial in nature as long as it does not otherwise violate the terms of use of the SERVICE. However, your right to use the Service is personal to you and you may not resell all or any portion of the Service. You agree not to reproduce, duplicate, copy, sell, or resell the Service or your use of or access to the SERVICE. You may not re-sell or give away unused benefits associated with membership.

11. LIMITATION OF LIABILITY

THE SERVICES PROVIDES THE PLATFORM "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT ALLOWED BY LAW. THE SERVICE FURTHER DISCLAIMS ALL OTHER WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. THE SERVICE WILL NOT BE LIABLE FOR ANY DAMAGES INCURRED IN CONNECTION WITH THE USE OF THE SERVICE. THIS INCLUDES ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES THAT MAY ARISE FROM THE USE OF THE SERVICE, THE FAILURE OF THE SERVICE, OR THE TERMINATION OF THE SERVICE. THIS LIMITATION OF LIABILITY WILL ALSO APPLY TO ANY LOSS OF DATA, INFORMATION, ORIGINAL CONTENT, TRANSLATED CONTENT, OR SYNDICATED CONTENT THROUGH FAILURE OF THE SERVICE OR INTERRUPTION OF TRANSMISSION. THESERVICEWILL NOT BE LIABLE FOR ANY HARM OR LOSS ARISING FROM UNAUTHORIZED ACCESS TO DATA, INFORMATION OR TRANSMISSION, INCLUDING, BUT NOT LIMITED TO TANGIBLE OR INTANGIBLE LOSS OF REVENUES, PROFITS, DATA OR INFORMATION.

THE SERVICE DOES NOT WARRANT UNINTERRUPTED OR ERROR FREE FUNCTIONS CONTAINED IN THIS SITE OR ITS CONTENT OR THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU AGREE THAT THE SERVICE IS NOT LIABLE FOR ANY DAMAGES ARISING FROM THE INTERRUPTION, CANCELLATION OR SUSPENSION OF THE SERVICE, REGARDLESS OF WHETHER THE FAILURE OF SERVICE IS ANNOUNCED, JUSTIFIED, INTENTIONAL, UNINTENTIONAL OR NEGLIGENT. CERTAIN JURISDICTIONS DO NOT PERMIT THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO IT IS POSSIBLE THAT CERTAIN LIMITATIONS DESCRIBED ABOVE ARE NOT APPLICABLE TO YOU. YOU UNDERSTAND AND AGREE THAT USE OF THE SERVICE IS DONE AT YOUR OWN RISK AND DISCRETION.

Your interactions with organizations and/or individuals found on or through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You understand that real estate investing or any other opportunities presented via the service incurs risk, you should consult legal and tax advice as well as make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that the site or service shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that the Site is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release and explicitly disclaim the site, mediadev S.A. its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

12. COPYRIGHT AGENT

If you believe that your information or any other material has been used on the SERVICE in a manner that constitutes copyright infringement, please provide our Copyright Agent with a written notice (e-mail is sufficient) that includes the following information:

  • an electronic or physical signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed;
  • identification of the copyrighted work claimed to have been infringed;
  • a description of where the material that you claim is infringing is located on the Site;
  • your address, telephone number, and e-mail address;
  • a statement by you that have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement by you, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf;

13. GOVERNING LAW

The laws of the Country of Bolivia shall govern this Agreement and the relationship between you and the SERVICE. You agree that any grievances shall be settled according the procedures and laws within this jurisdiction. You further agree that any claim, cause or action related to the Service or this Agreement must be filed within one (1) year after such claim arose.

The headings used to describe the sections of this Agreement are solely for descriptive purposes. They do not imply or refer to a specific legal description or obligation.
